to the purchase price if the Third Party is
the successful bidder or to be refunded if
the Third Party is not the successful bidder;
c. confirm the Third Party’s willingness to be
bound by the terms of a Bidding Procedures
Order and a Sale Order; and, d. provide

satisfactory to the Trustee that the Third
